Dialectics of the Business Judgment Rule and General Principles of Good Administration in Land Acquisition and Permitting for Electricity Sector Infrastructure

Penelitian ini mengkaji problematika yuridis terkait tumpang tindih kewenangan PTUN terhadap tindakan Direksi BUMN Ketenagalistrikan yang memiliki karakteristik hibrida sebagai entitas privat sekaligus publik. Masalah utama terletak pada ketidakpastian hukum dalam menentukan batas kompetensi absolut peradilan administrasi terhadap diskresi bisnis Direksi dalam proyek strategis nasional. Tindakan tersebut sering kali ditarik ke ranah sengketa administrasi melalui perluasan makna KTUN. Penelitian ini bertujuan untuk menganalisis kedudukan hukum Direksi BUMN, membedah dialektika antara doktrin BJR dan AUPB pada aspek pengadaan lahan serta perizinan, dan merumuskan rekonstruksi norma melalui standarisasi prosedur internal. Metode penelitian yang digunakan adalah yuridis normatif dengan pendekatan perundang-undangan dan pendekatan konseptual melalui analisis preskriptif terhadap sembilan instrumen hukum primer dan dua puluh delapan referensi bahan hukum sekunder. Hasil penelitian menunjukkan bahwa integrasi BJR ke dalam parameter AUPB merupakan keharusan untuk melindungi diskresi manajerial dari intervensi peradilan yang berlebihan. Temuan krusial dalam penelitian ini menekankan bahwa identifikasi terhadap sumber wewenang (source of power), baik yang bersifat kontraktual maupun regulatif, merupakan kunci utama dalam menentukan kualifikasi keputusan sebagai perbuatan hukum perdata guna mengaktifkan pengecualian dalam Pasal 2 huruf a Undang-Undang Nomor 9 Tahun 2004. Implikasi penelitian ini merekomendasikan standarisasi prosedur internal BUMN yang selaras dengan SEMA Nomor 2 Tahun 2019. Hal tersebut penting untuk menjamin bahwa sengketa yang bersumber dari perbuatan cidera janji (wanprestasi) oleh penguasa tetap menjadi kewenangan absolut pengadilan perdata. Upaya ini dilakukan guna mewujudkan kepastian hukum dalam akselerasi infrastruktur energi nasional.
